Client Agreement

This Client Agreement is between you and TrackBounty LTD, a company registered in England and Wales (company number 17068830).

1. Overview

This Client Agreement ("Agreement") sets out the specific terms that apply to you as a Client on TrackBounty: creating and funding bounties, the service fee, settlement, refunds, review of submissions and the rights involved.

This Agreement is in addition to the Platform Terms of Service, Privacy Policy, and Acceptable Use Policy. If there is a conflict between this Agreement and the Platform Terms, this Agreement takes priority for Client-specific matters.

2. Who Is a Client

A "Client" is any record label, independent artist, music manager, event organiser or agency who registers on TrackBounty to create and manage promotional bounties. Clients operate within a dedicated workspace that contains their bounties, drafts, wallet, settings and results. A manager's workspace is keyed to the act it represents.

3. Workspace Activation

A self-service workspace is created in "pending review" status and becomes active automatically when its first eligible bounty is validated and launched: the sound resolves, the platform is TikTok, the terms are inside the permitted ranges, the budget is at least the minimum, the brief is complete, the agreed deadline keeps the seven-day minimum and the payment is confirmed. Workspaces created through an enquiry, and projects that are not music, stay in review until TrackBounty approves them.

TrackBounty keeps the right to pause, end or reactivate any bounty and to review a workspace at any time. Where a manager launches a second or third bounty for different acts, those launches are reviewed by TrackBounty before activation; a fourth is refused before payment.

4. Creating Bounties

Bounty Requirements

When creating a bounty, you agree to:

• Provide an accurate brief: the sound, the audiences, what every edit must include and what it must avoid.
• Set the payment terms before the bounty goes live: the rate per 1,000 views, the qualification threshold, the per-account cap and the budget.
• Not retroactively change payment structures, eligibility criteria or bounty rules after editors have submitted content.

Bounty Lifecycle

A self-service bounty follows: Draft → Funded → Active → Ended → Settled. Once a bounty is active you are bound by the payment terms you set; approved submissions must be honoured. Pausing a bounty is not self-service.

Minimum

Every self-service bounty carries at least USD 1,000 of editor budget. The first bounty is therefore funded with a subtotal of USD 1,200 (budget plus the service fee) before any applicable tax or permitted processing cost.

5. Funding and the Wallet

• Payments are processed by Stripe, a third-party payment provider; TrackBounty never stores your card details.
• Every cash funding is recorded as a separate lot with its own currency, amount, payment and service fee; refunds go back only to that lot's original payment.
• Wallet balance is used at face value to fund or top up bounties; funding a bounty from the wallet carries no additional fee.
• A bounty can be topped up from the wallet before its agreed deadline. New cash added to the wallet carries the service fee of section 6.

6. Service Fee and the First-Bounty Return

• A service fee of 20 % of the amount funded is charged on every cash funding of the wallet, itemised at checkout. It is the same for every payment method.
• First-bounty return: when your first eligible bounty ends with less than its full budget earned by editors, the service fee attributable to that bounty (never more than 20 % of its editor budget) is credited to your wallet once, after final settlement, together with the unused budget. You can use it on your next bounty without any further fee.
• The service fee on later fundings and top-ups is retained by TrackBounty when a bounty ends under budget; unused budget still returns to your wallet.
• Returned balance is reused at face value with no new fee. Each new bounty still needs at least USD 1,000 of editor budget.
• Retention never applies to a payment that was reversed, duplicated or never launched: such a payment is refunded in full, service fee included (section 8).

We will provide at least 30 days' notice before changing the fee structure. Some workspaces may operate with reduced or zero fees at TrackBounty's discretion.

7. Settlement and Unused Budget

The agreed deadline of a bounty is the cutoff for views. When it is reached:

1. Approved submissions are measured from the last reading at or before the deadline; a late close never extends accrual.
2. Pending submissions are decided within a review grace period; editor earnings are calculated from the funded budget and paid to editors.
3. Unused budget not covered by an open obligation is returned to your wallet, lot by lot; held items are returned or paid when they resolve.
4. The first-bounty fee decision of section 6 is made once, after final settlement.

Your wallet shows the spendable part and the refundable part of your balance separately.

8. Refunds to the Original Payment

• You may request a refund of the refundable part of your balance at any time. A refund is made to the original payment method of each funding, in that funding's currency, at the rate frozen when it was paid, and never above what that payment can still refund.
• Money that is committed to a bounty, held for an obligation, under dispute or already inside a refund in progress is not refundable until it returns to your balance.
• A duplicate payment, a payment reversed by the provider, or a funded bounty that never launched is refunded in full, service fee included.
• Stripe refunds usually reach a card within 5 to 10 business days; a failed refund returns the amount to your balance. The provider's processing fee on the original payment is not returned by the provider.

9. Currency, Tax and Processing

• Your wallet is kept in US dollars. A funding may be presented in another currency; the exchange rate is frozen on that funding and its refund uses the same rate.
• Tax is shown as its own line at checkout. Where no tax is charged the line says so; this is not a statement that no tax applies, and TrackBounty may add applicable tax before a payment is taken.
• No payment-method surcharge is charged to consumer payers. Any processing line is shown before payment.

10. Review and Flags

TrackBounty reviews submissions against your brief and its own quality and fraud rules; approval decisions are TrackBounty's. You may flag an approved edit from your workspace, within the flag window, with a reason. A flag is reviewed by TrackBounty; its outcome is shown to you. A flag does not change payments by itself.

11. Drafts and Deadlines

• A draft bounty expires 14 days after its last edit; a checkout session expires 30 minutes after it is created. A payment that arrives after a draft expired is credited to your wallet and the draft is restored for your confirmation.
• The agreed deadline is at least seven days (168 hours) after launch. When a launch would leave less than seven days, you are asked to confirm a later deadline or to take the applicable refund; the deadline never moves without your confirmation.
• Promotional offers are tied to a launch inside their window and are described on the offer page; eligibility is recorded at launch.

12. Creator Data Usage

What You Can See

For editors who took part in your bounties, you can access:

• Public profile information: TikTok username, follower count, engagement rate, region, niche tags.
• Bounty performance: submission details, view counts, engagement metrics for your bounties only.
• Payment status for your bounties.

What You Cannot See or Do

• You cannot see an editor's performance on other Clients' bounties or their earnings from other Clients.
• You cannot access editor email addresses, payment details, or private account information.
• You cannot export, scrape, or bulk-download editor data from the platform.
• You cannot share editor data with third parties without the editor's explicit consent.

Violation of these data usage restrictions is a serious breach of this Agreement and may result in immediate workspace termination.

13. Content Rights

You do not own editor content. When an editor submits a TikTok video to your bounty, you receive a limited, non-exclusive, non-transferable licence to reference the content for bounty tracking and analytics, lasting for the duration of the bounty plus 12 months. This licence does not include the right to re-upload, re-post, redistribute, modify or claim the editor's content, or to use it in your own advertising. Any wider use needs a separate licence agreed directly with the editor.

14. Music & Sound Rights

You warrant that you have all necessary rights, licences and permissions for any music, sounds or audio used in your bounties, including the right to ask editors to use the specified sound. If an editor receives a copyright strike or content removal because you provided unlicensed music, you indemnify both TrackBounty and the editor against any resulting claims, losses or damages. You must promptly notify TrackBounty and affected editors of any rights issue with bounty sounds.

15. No-Circumvention

You agree not to recruit editors discovered through TrackBounty for off-platform deals to avoid TrackBounty fees, not to contact editors outside the platform to offer work that circumvents TrackBounty's tracking and fee structure, and not to encourage editors to leave TrackBounty or use alternative payment methods to avoid platform oversight. This restriction applies for 12 months after your last interaction with an editor through the platform.

16. Termination

You may close your workspace at any time by contacting support. TrackBounty may terminate a workspace for violations of this Agreement, non-payment or inactivity. Upon termination, all outstanding payments to editors are settled first, active bounties are ended, the refundable part of your balance is refunded to the original payment methods on request, and your bounty data is retained as described in our Privacy Policy.

17. Disputes

1. Use the flag and review tools inside your workspace first.
2. If unresolved, contact TrackBounty support. We may mediate but are not obligated to resolve Client-editor disputes.
3. TrackBounty's fraud detection determinations are final, subject to the evidence review process.

For legal disputes, the Governing Law section of the Platform Terms applies.
