Client Agreement

v1.01. Overview
This Client Agreement ("Agreement") sets out the specific terms that apply to you as a Client on TrackBounty. It covers your obligations regarding campaigns, payments to Creators, platform fees, data usage, and content rights.
This Agreement is in addition to the Platform Terms of Service, Privacy Policy, and Acceptable Use Policy. If there is a conflict between this Agreement and the Platform Terms, this Agreement takes priority for Client-specific matters.
2. Who Is a Client
A "Client" is any record label, independent artist, marketing agency, or music manager who registers on TrackBounty to create and manage promotional campaigns. Clients operate within a dedicated workspace ("tenant") that contains their campaigns, creator roster, settings, and analytics.
3. Account Approval
All new Client accounts are created with "pending review" status. Before you can activate campaigns:
- TrackBounty will review your account to verify legitimacy.
- You may be asked to provide additional information about your organisation.
- Approval is at TrackBounty's sole discretion.
While your account is pending review, you can set up your workspace, configure branding, and draft campaigns — but you cannot make campaigns live or invite Creators until approved.
4. Creating Campaigns
Campaign Requirements
When creating a campaign, you agree to:
- Provide accurate campaign descriptions, requirements, and eligibility criteria.
- Set fair and honest payment terms before the campaign goes live.
- Not retroactively change payment structures, eligibility criteria, or campaign rules after Creators have submitted content.
- Ensure any required sounds, hashtags, or materials are clearly specified.
Campaign Lifecycle
Campaigns follow a lifecycle: Draft → Active → Paused (optional) → Ended. Once a campaign is active and Creators have submitted content, you are bound by the payment terms you set. You may pause a campaign at any time, but approved submissions up to that point must still be honoured.
Submission Review
You are responsible for reviewing Creator submissions in a timely manner. Submissions that meet your stated campaign requirements should be approved. If you reject a submission, you should provide a clear reason. Persistently rejecting valid submissions to avoid payment is a violation of this Agreement.
5. Payment Obligations
How Campaign Funding Works
- You set a maximum campaign budget when creating a campaign.
- Before the campaign can be activated, you must fund the budget plus the 10% platform fee through the platform's payment system.
- Funded amounts are held by Stripe on behalf of Creators until the campaign ends and earnings are settled.
- You cannot reduce a funded campaign budget once Creators have submitted content.
Campaign Settlement
When a campaign ends, Creator earnings are calculated based on the campaign's payment structure and verified metrics. The settlement process is:
- Creator earnings are calculated from the funded budget.
- Earned amounts are credited to each Creator's wallet balance (minus the Creator-side platform fee).
- Any unused campaign funds are returned to your TrackBounty platform balance.
Your Platform Balance
- Unused campaign funds and refunds are credited to your TrackBounty balance.
- Your balance can be used to fund future campaigns without a new payment.
- You may withdraw your balance via the original payment method or bank transfer. Withdrawal processing takes 5–7 business days.
- Balances are non-interest-bearing.
Consequences of Non-Funding
Campaigns that are not funded within 30 days of creation may be automatically archived. Repeatedly creating campaigns without funding them may result in restrictions on your account.
6. Platform Fees
TrackBounty charges a 10% platform fee from both sides of each transaction:
- Client-side fee: 10% is charged on top of the campaign budget at the time of funding. For example, a £1,000 campaign budget requires a £1,100 payment (£1,000 budget + £100 platform fee).
- Creator-side fee: 10% is deducted from each Creator's gross earnings before crediting their wallet. This is shown transparently in campaign earnings breakdowns.
Platform fees for funded and activated campaigns are non-refundable, even if the campaign is ended early or the full budget is not spent. Unused budget (excluding fees) is returned to your platform balance.
We will provide at least 30 days' notice before changing our fee structure. Fee rates may vary by workspace — some workspaces may operate with reduced or zero fees at TrackBounty's discretion.
Manual Payment Workspaces
Certain workspaces may be exempt from the standard pre-funding model and operate with manual off-platform payments (0% platform fee). In these cases, campaign activation does not require pre-funding, and you are responsible for paying Creators directly. TrackBounty provides payment tracking tools but does not process or guarantee these payments.
7. Creator Data Usage
What You Can See
For Creators who have joined your workspace, you can access:
- Public profile information: TikTok username, follower count, engagement rate, region, niche tags.
- Campaign performance: submission details, view counts, engagement metrics for your campaigns only.
- Payment status for your campaigns.
What You Cannot See or Do
- You cannot see a Creator's performance on other Clients' campaigns.
- You cannot see a Creator's earnings from other Clients.
- You cannot access Creator email addresses, payment details, or private account information.
- You cannot export, scrape, or bulk-download Creator data from the platform.
- You cannot share Creator data with third parties without the Creator's explicit consent.
Violation of these data usage restrictions is a serious breach of this Agreement and may result in immediate account termination.
8. Content Rights
You do not own Creator content. When a Creator submits a TikTok video to your campaign, you receive:
- A limited, non-exclusive, non-transferable licence to reference the content for campaign tracking and analytics.
- This licence lasts for the duration of the campaign plus 12 months.
This licence does not include the right to:
- Re-upload, re-post, or redistribute the Creator's video.
- Use the Creator's video in your own advertisements or marketing materials.
- Modify or create derivative works from the Creator's content.
- Claim authorship or ownership of the Creator's content.
If you wish to use a Creator's content beyond campaign tracking, you must negotiate a separate licence directly with the Creator.
9. Music & Sound Rights
You warrant that you have all necessary rights, licences, and permissions for any music, sounds, or audio used in your campaigns. Specifically:
- You must have the right to request that Creators use the specified sound in their TikTok videos.
- If a Creator receives a copyright strike or content removal notice because you provided unlicensed music, you indemnify both TrackBounty and the Creator against any resulting claims, losses, or damages.
- You must promptly notify TrackBounty and affected Creators if you become aware of any rights issues with campaign sounds.
10. No-Circumvention
You agree not to:
- Recruit Creators discovered through TrackBounty for off-platform deals to avoid TrackBounty fees.
- Contact Creators outside the platform to offer work that circumvents TrackBounty's tracking and fee structure.
- Encourage Creators to leave TrackBounty or use alternative payment methods to avoid platform oversight.
This restriction applies for 12 months after your last interaction with a Creator through the platform. Violation may result in account termination and you may be liable for damages equal to the fees that would have been payable.
11. Termination
You may close your account at any time by contacting support. TrackBounty may terminate your account for violations of this Agreement, non-payment, or inactivity.
Upon termination:
- All outstanding payments to Creators must be settled before account closure is finalised.
- Active campaigns will be ended and Creators notified.
- Your campaign data and analytics will be retained as described in our Privacy Policy.
- Any unused prepaid credits or fees are non-refundable after campaign activation.
12. Disputes
If you have a dispute with a Creator regarding submission quality, content, or performance:
- First, attempt to resolve it through the platform's messaging and review tools.
- If unresolved, contact TrackBounty support. We may mediate but are not obligated to resolve Client-Creator disputes.
- TrackBounty's fraud detection determinations are final, subject to the evidence review process.
For legal disputes, the Governing Law section of the Platform Terms applies.
